RB Innovate LLP and its brands: Cancellation, Refund and Service Policy

Effective Date: 01 January 2026

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and RB Innovate LLP ("the Firm") governing your access to and use of rbinnovate.com ("the Site") and all associated services, including content delivery, mobile or internet-connected device access, automated messaging, and email integration ("the Service"). By accessing the Site or Service, you agree to be legally bound by these Terms, which take effect immediately on your first use. If you do not agree, please do not access or use the Site or Service.

You represent and warrant that you are at least eighteen (18) years of age and capable of entering into and adhering to these Terms. Individuals under the age of 18 may use the Service only with the involvement, guidance, and approval of a parent or legal guardian. Where required by the Firm, you agree to register and provide accurate details including your full name, age, email address, residential address, and contact number before uploading content or using certain features.

RB Innovate LLP may update these Terms at its discretion. You are responsible for reviewing these Terms periodically. Continued use of the Site or Service after any amendment constitutes acceptance of the revised Terms. RB Innovate LLP reserves the right to suspend, cancel, or discontinue any channel, product, or service at any time and to introduce subscription or membership fees with reasonable prior notice.

Cancellation:

1. RB Innovate LLP reserves the right to charge fees for use of the Site and/or services rendered to the User and/or their organisation.
2. Cancellation or discontinuation of use is not retrospective. Unless otherwise mutually agreed in writing, the User remains liable for all fees accrued up to and including the last day of use or service receipt.
3. The User may discontinue use of the Site or services by providing a minimum of ninety (90) days' written notice to customer.care@rbinnovate.com. All outstanding dues for use of the Site or services rendered prior to the effective cancellation date shall remain payable.
4. RB Innovate LLP reserves the right to suspend or terminate a User's access without prior notice in the event of non-payment, violation of these Terms, misuse of integrated third-party services (including WhatsApp and Gmail), or prolonged inactivity.
5. Upon cancellation or termination of services involving WhatsApp Bot or Gmail/email integration, RB Innovate LLP will revoke all API access tokens, delete or return client credentials, and cease all automated messaging and email processing within five (5) business days, unless otherwise required by law.

Refunds:

1. Platform fees and/or service fees paid by Clients for use of the Site or services rendered by RB Innovate LLP — including fees for WhatsApp Bot services and Gmail/email integration — are non-refundable, except where explicitly required by the Consumer Protection Act 2019 or other applicable Indian law.
2. RB Innovate LLP is not liable for any loss or damage — including loss of data, revenue, or any financial or physical harm — suffered through the use of the Site or any integrated service.
3. All terms are subject to Indian law and the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

WhatsApp Bot Services:

RB Innovate LLP offers WhatsApp Bot services as part of its automation and communication solutions. These services are delivered via the WhatsApp Business Platform in accordance with WhatsApp's Business Policy and Commerce Policy. Use of this service constitutes acceptance of the following terms in addition to all other terms herein.

1. Client Authorisation: By subscribing to or enabling WhatsApp Bot services, the Client explicitly authorises RB Innovate LLP to send automated messages, notifications, alerts, and conversational responses to end-users via WhatsApp on the Client's behalf.
2. End-User Consent (Opt-in): The Client warrants that all end-users to whom WhatsApp messages are sent have provided prior, explicit, and informed consent to receive such messages. RB Innovate LLP is not responsible for obtaining end-user consent on behalf of the Client. The Client must maintain records of such consent and make them available to RB Innovate LLP upon request.
3. Opt-out Mechanism: The Client must provide a clear and easily accessible opt-out mechanism to all end-users. RB Innovate LLP will process opt-out requests relayed through the platform within a practically reasonable time, taking into account the nature of the request and available technical infrastructure, in accordance with Meta's WhatsApp Business Policy. End-users may opt out at any time by replying "STOP" or an equivalent keyword as configured. This opt-out right cannot be overridden by the Client.
4. Permitted Use: WhatsApp Bot services may only be used for lawful business purposes including customer notifications, appointment reminders, transactional updates, recruitment communications, and customer support, strictly within Meta's WhatsApp Business Policy. The Client agrees not to use WhatsApp Bot services to send unsolicited bulk messages (spam), political content, content involving illegal goods or services, or any content that violates Meta's policies or applicable Indian law.
5. Data Handling: Message content, phone numbers, and metadata transmitted through the WhatsApp Bot service may be processed and stored by RB Innovate LLP and/or its third-party API providers solely for the purpose of delivering and improving the service. RB Innovate LLP does not sell or share WhatsApp message data with unauthorised third parties. The Client is responsible for ensuring their use of end-user data obtained via WhatsApp complies with the Digital Personal Data Protection Act 2023 (DPDPA) and all other applicable data protection laws.
6. Suspension of Service: RB Innovate LLP reserves the right to review, suspend, or terminate WhatsApp Bot services at any time if the Client's usage is found to be in violation of these Terms or Meta's policies, without liability for refund.
7. Availability: RB Innovate LLP will use commercially reasonable efforts to maintain uptime of WhatsApp Bot services; however, availability is also dependent on Meta's infrastructure and API availability, for which RB Innovate LLP accepts no liability.

Gmail and Email Access Services:

RB Innovate LLP offers Gmail and email integration services as part of its workflow automation solutions. These services operate via Google's APIs and are subject to Google's API Services User Data Policy, including the Limited Use requirements. RB Innovate LLP's use of data received from Google APIs adheres strictly to Google's Limited Use Policy. Use of this service constitutes acceptance of the following terms in addition to all other terms herein.

1. Authorisation and Scope of Access: By enabling Gmail or email integration services, the Client explicitly grants RB Innovate LLP OAuth 2.0-based access to the designated Gmail or email account(s) for the specific scopes authorised during the OAuth consent flow. Scopes may include reading incoming emails, sending emails on the Client's behalf, managing labels and folders, and/or accessing email metadata (subject, sender, recipient, timestamps). RB Innovate LLP will request only the minimum scopes necessary to deliver the subscribed services.
2. No Password Access: RB Innovate LLP will not request, store, or use Google account passwords. All authentication is performed exclusively via Google's OAuth 2.0 protocol. The Client may review and revoke Gmail access at any time via their Google Account Permissions page. Revocation of access will immediately disable Gmail-dependent features of the Service.
3. Limited Use Policy (Google API Compliance): Data obtained via Gmail API will be used solely to provide and improve the specific features requested by the Client. RB Innovate LLP will not use Gmail data to: (a) develop, improve, or train generalised AI or machine learning models; (b) serve advertisements or targeted marketing; (c) transfer data to third parties except as necessary to provide the subscribed services or as required by law; or (d) allow humans to read email content except with the Client's explicit consent, for security purposes, or as required by law.
4. Permitted Use: Gmail integration services may be used for automated email responses, recruitment workflow notifications, candidate communication, scheduling, and business process automation, strictly within the authorised scopes. The Client agrees not to use Gmail integration services to send unsolicited bulk emails (spam), phishing content, or any content that violates Google's terms of service or applicable Indian law. The Client is solely responsible for the content of emails sent via RB Innovate LLP's platform.
5. Data Security: All Gmail data accessed through the integration is transmitted over encrypted (TLS) connections and stored, where necessary, using industry-standard encryption at rest. RB Innovate LLP implements appropriate technical and organisational measures to protect Gmail data against unauthorised access, loss, or destruction.
6. Data Retention and Deletion: Email data accessed via Gmail API is retained only for as long as necessary to deliver the Service or as required by applicable law. Upon termination of the Gmail integration service, RB Innovate LLP will delete or return all stored Gmail data within thirty (30) days, unless retention is required by law. The Client may request deletion of their Gmail data at any time by contacting customer.care@rbinnovate.com. Deletion will be completed within thirty (30) days of the verified request.
7. Compliance: The Client is responsible for ensuring that their use of Gmail integration services complies with the Information Technology Act 2000, the Digital Personal Data Protection Act 2023 (DPDPA), and any other applicable data protection or anti-spam legislation.

Data Processing and Privacy:

For full details of how RB Innovate LLP collects, uses, stores, and protects personal data, please refer to our Privacy Policy, which forms part of these Terms. In the event of any conflict between the Privacy Policy and these Terms on matters of data handling, the Privacy Policy shall prevail.

1. RB Innovate LLP acts as a Data Processor under the Digital Personal Data Protection Act 2023 (DPDPA) with respect to personal data processed on behalf of Clients using WhatsApp Bot and Gmail integration services. The Client acts as the Data Fiduciary and is responsible for ensuring a lawful basis for processing the personal data of their end-users.
2. Personal data processed via WhatsApp or Gmail services will not be transferred outside India except where required by applicable law or where the Client has provided explicit consent and the transfer complies with the DPDPA.
3. Clients may request a Data Processing Agreement (DPA) from RB Innovate LLP by contacting customer.care@rbinnovate.com.
4. In the event of a personal data breach affecting WhatsApp or Gmail data, RB Innovate LLP will notify affected Clients within a reasonably practicable time after becoming aware of the breach, in compliance with applicable law.

Limitation of Liability:

1. RB Innovate LLP is not liable for any form of loss or damage suffered through the use of the Site or any integrated service — including WhatsApp Bot services and Gmail/email integration — including loss of data, information, revenue, or any financial or physical loss or damage.
2. RB Innovate LLP shall not be liable for service interruptions, data loss, or delivery failures arising from downtime of third-party platforms including Meta (WhatsApp) or Google (Gmail), telecommunications providers, or internet service providers.
3. RB Innovate LLP's aggregate liability to a Client for any claim arising out of or related to WhatsApp Bot or Gmail integration services shall not exceed the fees paid by the Client to RB Innovate LLP in the three (3) months preceding the event giving rise to the claim.
4. All terms are subject to Indian law and the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Notices:

All formal legal notices to RB Innovate LLP must be sent in writing to the registered address below or by email to customer.care@rbinnovate.com with the subject line "Legal Notice". Notices sent by email are deemed received on the next business day following transmission. RB Innovate LLP may serve notices on Users at the email address provided during registration.

Severability:

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The validity and enforceability of the remaining provisions shall not be affected.
